Company Overview

The Mills Fabrica is a collaborative platform for accelerating sustainability-focused tech innovations in the techstyle and agrifood sectors. Its venture capital fundbusiness incubator, impact retail store Fabrica X, and spaces across Hong Kong and London support innovations from different growth stages.

Grown out of Hong Kong’s Nan Fung Group’s textile legacy, The Mills Fabrica, through its capital, connections, and expertise, is on a mission to bring together innovators, entrepreneurs, and corporates to create positive environmental and social impact for generations.

Our fund invests globally in seed to series B startups as well as VC funds that align with our strategy and impact mandate. Our investment themes broadly cover three areas across the agrifood and techstyle verticals, including 1) next-gen ingredient and material innovations, 2) circular solutions and waste valorization technologies, and 3) more sustainable manufacturing and production practices.

ABOUT THE LEGAL COUNSEL ROLE:

Key Responsibilities:

  • Provide legal support to the venture capital and investment funds functions and work with Nan Fung Group’s Corporate Legal Counsel Department, if necessary
  • Work with senior legal counsel across multiple projects in the venture capital and fund investment space
  • Draft, review, and comment on transactions and documents related to our investment themes and thesis
  • Facilitate deals and balance legal and business risks
  • Manage outside counsel where required
  • Provide ad hoc legal support
  • Support the launch and operation of investment funds
  • Support the launch of new businesses, joint ventures, and fund establishment

Requirements:

  • Hong Kong or other common law jurisdiction qualified solicitor with at least 5 years of PQE, preferably gained from international investment banks/magic circle firms/in-house with exposure to Fund transactions
  • Either an associate from a leading law firm with M&A and financing experience or currently an in-house counsel working in venture capital, or investment division of an investment bank
  • Solid experience in venture capital and fund investment transactions
  • Solid drafting and negotiation skills
  • Sound judgment with the ability to add value in a proactive environment
  • General commercial law with compliance practices as well as funds and M & A transactional experiences
  • Ability to work independently, strong commercial sense, meticulous, dedicated, and self-motivated
  • Proficient in both written and spoken English. Cantonese is a strong plus.
